3.1.User/You agrees to defend, indemnify and hold harmless Dalmia Bharat Enterprises, its employees, directors, officers, agents and their successors and assigns from and against any and all claims, liabilities, damages, losses, costs and expenses, including attorneys fees, caused by or arising out of claims based upon the use of Users actions or inactions, including but not limited to any warranties, representations or undertakings or in relation to the non-fulfillment of any of its obligations under this Agreement or arising out of the Users infringement of any applicable laws, regulations including but not limited to Intellectual Property Rights, payment of statutory dues and taxes, claim of libel, defamation, violation of rights of privacy or publicity, loss of service by other subscribers and infringement of intellectual property or other rights.
4.1.In no event shall Dalmia Bharat Enterprises or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption), arising out of the use or inability to use the materials on Dalmia Bharat Enterprises internet site, even if Dalmia Bharat Enterprises or a Dalmia Bharat Enterprises authorized representative has been notified orally or in writing of the possibility of such damage.

6.1.This Agreement shall be governed and construed in accordance with the Laws of Union of India. All disputes arising out of or relating this Agreement and/or relating to the use of the Site shall be referred for arbitration to Sole Arbitrator to be appointed by Managing Director of DBEL. The award of arbitrator shall be final and binding on the parties.
You hereby irrevocably consent to the exclusive jurisdiction courts at New Delhi, India.
7.1.Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and Dalmia Bharat Enterprises with respect to the website/services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and Dalmia Bharat Enterprises with respect to the website/services. Dalmia Bharat Enterprises failure to act with respect to a breach by you or others does not waive its right to act with respect to subsequent or similar breaches.
